The next North Anthony Neighborhood Association regular meeting on Monday, July 22, 2024 at the The Oh Five Scoop Shoppe, 1937 East State Boulevard, Fort Wayne, IN 46805, at 7PM.
We will be voting on the following two bylaw changes proposed by President Joseph Brennan, and one proposed by the membership and board at our May 20 Regular Meeting, a motion to add a vote on them to the agenda for July having been approved at the May meeting. This post shall serve as constructive notice of the vote. The proposed changes are:
- Article 5, Directors shall be amended to state in our bylaws so that both our board quorum and minimum number of directors is three members, which the state minimum for a non-profit corporation under IN Code § 23-17-12-3 (2022) :
“Sec. 3. (a) A board of directors must consist of at least three (3) individuals, with the number specified in or fixed in accordance with articles of incorporation or bylaws.
(b) The number of directors may be increased or decreased, but to not less than three (3), by an amendment to or in a manner prescribed in articles of incorporation or bylaws.
As added by P.L.179-1991, SEC.1.”
- This was proposed to prevent our board from falling out of compliance with our bylaws, even when it was able to form a quorum and meet the state minimum for active board members.
- The addition of Article 8, Parliamentary Authority, to our bylaws, to read:
“The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Society in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Society may adopt. RONR (12th ed.) 2:15, 56:49,56:66”
- This was proposed to give us a guide concerning the conduct of meetings, and as to best practices to make our organization run more smoothly.
- The raising of mandatory dues payment from the current $5 to $20
- This was proposed to adjust for inflation since 1987, when the dues were last set
- Suggested dues have been $20.00 for some time now, and our PayPal integration defaults to this
- But residents can adjust this to pay as little as $5.00 and remain in good standing
- The board currently authority to charge more, even though $5.00 does not keep up with our expenses
